The ELTEK Store online platform belongs to the company ELTEK Multimedia SRL, a Romanian legal entity, with registered office in Voluntari, Pipera Boulevard, number 1B, Cubic Center Office Building, 7th floor, offices 23 and 24, Ilfov County, registered with the Trade Register under no. J23/2369/28.10.2009, fiscal registration code RO21340382.

Interpretation and definitions

Interpretation

The following definitions have the same meaning, regardless of whether they appear in the singular or plural.

Definitions

For the purposes of these Terms and Conditions:

• "Affiliate" means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of at least 50% of the shares, interests, or other securities entitled to vote for the election of directors or other management authorities.
• "Account" means a unique account created for you to access the ELTEK Store online platform.
• "Company" (referred to as either "Company", "We" or "Our" in this agreement) refers to ELTEK Multimedia SRL
• "Country" refers to Romania.

• "Device" means any device that can access the ELTEK Store online platform, such as, but not limited to, a computer, a mobile phone or a digital tablet.
• "Feedback" , opinions or suggestions sent by you regarding the attributes, performance or features of our Service.
• "Products" refers to the products or items offered for sale within the ELTEK Store online platform.
• "Orders" means a request from You to purchase Products from
• "Promotions" refers to contests, raffles or other promotions offered through the ELTEK Store online platform.

• "Terms and Conditions" (also referred to as "Terms") means these Terms and Conditions which form the entire agreement between you and the Company regarding the use of the ELTEK Store online platform.

• "You" means the individual accessing or using the website, or the company or other legal entity on behalf of which such individual is accessing or using the website, as applicable.

Recognition

These Terms and Conditions govern the use of the ELTEK Store online platform and constitute the agreement between You and the Company. By accepting them, the rights and obligations of all users regarding access and use of the platform are established.

Access to the ELTEK Store online platform is conditioned on acceptance of these Terms and Conditions, applicable to all visitors and users. If you do not agree to any of these Terms, you may not access the platform.

You declare that you are at least 18 years old, as the Company prohibits purchases by minors.

When using the Site and the Services, the User undertakes:

• Not to use the site and its content for illegal purposes and not to access the site's database without authorization;

User account

When you create an account on the ELTEK Store platform, it is mandatory to provide accurate, complete and up-to-date information. Failure to comply with this requirement may result in the immediate closure of your account.

You are responsible for the security of the password used to access the platform and for all activities carried out with it. You undertake not to disclose your password to any third party and to inform us immediately of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity without permission, a name protected by legal rights, or a name that is offensive, vulgar, or obscene.

Copyright Policy

Intellectual property infringement

We respect the intellectual property rights of third parties and undertake to respond to any complaint regarding content posted on the ELTEK Store platform that would infringe copyright or other intellectual property rights.

If you are the copyright owner or acting on their behalf and believe that a protected work has been illegally copied on the ELTEK Store platform, please send us a detailed notification to info@eltek.ro, describing the alleged infringement.

Please note that you may be liable for damages (including costs and attorneys' fees) if the claim is made in error.

Notification for copyright infringement claims

To send a notification, include:

• Description of the protected work and its URL or a copy of the work;
• The URL or specific location on the Service of the disputed material;
• Your address, phone number and email;
• A statement that the disputed use is not authorized and that the information is accurate and that you have the right to act on behalf of the rights holder.

The Company will take appropriate action, at its discretion, including removing the disputed content, if applicable.

Placing orders for products

By placing an order on the ELTEK Store online platform, you confirm that you have the legal capacity to enter into contracts. Placing orders for products represents your agreement to enter into the contract.

Personal data

To place an order on the ELTEK Store, you will need to provide relevant information such as your name, email, phone, credit card details, expiration date, billing address and delivery information.

Declare that:

• You have the legal right to use your credit or debit card and other payment methods; and
• The information provided is correct and complete.

By submitting this information, you allow us to share it with third parties who process payments and with couriers for delivery.

Order confirmation

After placing an order, you will receive a confirmation that it has been registered. Confirmation of product availability and delivery time will be sent by phone or e-mail. The order is considered confirmed after receiving this information.

The Company's right to cancel the order

We reserve the right to refuse or cancel your order at any time for various reasons, including, but not limited to, product availability, errors in product description or pricing, or errors in your order. We may also refuse or cancel your order in the event of suspected fraud or unauthorized transaction.

The Consumer's right to cancel the order

The products you purchase may be returned or refunded only in accordance with these Terms and Conditions and the legal provisions in force.

Consumer's right of withdrawal

The consumer has the right to withdraw from a distance contract or an off-premises contract within 14 days, according to art. 9 of GEO no. 34/2014. However, this right does not apply in the following situations, according to art. 16 of the same ordinance:

1) Service contracts, after the full provision of the services and, if the contract gives rise to a payment obligation for the consumer, if the execution has begun with the express prior consent of the consumer and after he has confirmed that he has become aware of the fact that he will lose his right of withdrawal after the full performance of the contract by the professional;

2) The provision of products or services whose price depends on fluctuations in the financial market that the professional cannot control and which may occur during the withdrawal period;

3) Providing products made according to the specifications presented by the consumer or clearly personalized;

4) Supplying products that are likely to deteriorate or expire quickly;

5) Supply of sealed products that cannot be returned for health protection or hygiene reasons and that have been unsealed by the consumer;

6) Supply of products which, after delivery, are, according to their nature, inseparably mixed with other elements;

7) Contracts where the consumer has specifically requested the professional to travel to his home to carry out urgent repair or maintenance work. If, during such a visit, the professional provides services other than those expressly requested by the consumer or supplies products other than the spare parts indispensable for carrying out the maintenance or repair work, the right of withdrawal applies to those additional services or products;

8) Supply of sealed audio or video recordings or sealed computer programs that have been unsealed after delivery;

9) Supply of newspapers, periodicals and magazines, except for subscription contracts for the supply of such publications;

10) Contracts concluded within an auction;

11) Contracts for the supply of digital content that is not delivered on a tangible medium, if performance has begun and, if the contract gives rise to a payment obligation for the consumer, provided that:

(i) The consumer has given his express prior consent to the commencement of performance during the withdrawal period;

(ii) The Consumer has confirmed that he has become aware of the fact that he will lose his right of withdrawal as a result;

(iii) The professional has provided confirmation of the conclusion of the contract, in accordance with art. 7 paragraph (2) or art. 8 paragraph (7).

Product guarantee granted to consumers

The legal provisions in force apply, according to GEO no. 140/2021 regarding certain aspects of contracts for the sale of goods, with subsequent amendments and supplements. The warranty does not apply to consumables.

Availability, errors and inaccuracies

We constantly update product offerings on the ELTEK Store platform. However, product prices, descriptions, and availability may be erroneous or inaccurate, and there may be delays in updating information on the site and in online advertising.

We do not guarantee the accuracy or completeness of the information, including prices, images, specifications and product availability. We reserve the right to change or update information and to correct errors without prior notice.

Product images are for informational purposes only and may include accessories not included in the standard package or may differ in appearance. Technical specifications, prices and stock are subject to change without notice.

Transfer of ownership

The transfer of ownership of the ordered goods will take place upon full payment of the ordered products. Any resale of the goods by you until the payment of the products is void.

Pricing policy

The Company reserves the right to revise prices before accepting an order. All prices displayed include VAT. After accepting an order, prices may be adjusted in the event of external events affecting delivery, such as government actions, variations in customs duties, increases in shipping costs, currency fluctuations or other factors beyond the Company's control. In such a case, you have the right to cancel the order.

Payment

Payment can be made by various methods, including Visa, MasterCard or online options such as PayPal. Credit and debit cards are subject to verification and authorization by the issuer. In the absence of the necessary authorization, we do not assume responsibility for delays or non-delivery of the order.

Promotions

Promotions available on the ELTEK Store platform may have rules that are different from these Terms. Please check the promotion rules and our privacy policy. In the event of a conflict between the promotion rules and these Terms, the promotion rules will prevail.

Intellectual property

The entire content of eltekstore.com, including images, texts, design and media files, is the exclusive property of the Company and its suppliers and is protected by copyright law and other applicable regulations. Trademarks and trade dress may not be used without the prior written consent of the Company.

Your review

You assign all right, title and interest in and to any Feedback you provide to the Company (whether in the Reviews section or otherwise). If, for any reason, such assignment is ineffective, you agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sublicense, distribute, modify and exploit such Feedback without restriction.

Our Service may include links to third-party sites or services that are not owned or controlled by the Company. We have no control over the content, privacy policies, or practices of such sites or services, and we assume no responsibility for them. We are not liable for any damages or losses caused by your use of or reliance on such third-party content or services. Conclusion of the contract

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including breach of the Terms and Conditions. Upon termination, your right to use the ELTEK Store will immediately cease. If you wish to close your account, you may simply cease using the platform.

Limitation of liability

Without prejudice to your right to claim damages, the total liability of the Company and its suppliers under these Terms is limited to the amount actually paid by you through ELTEK Store.

To the maximum extent permitted by law, the Company and its suppliers will not be liable for any special, incidental, indirect or punitive damages, including loss of profits, data, business interruption, personal injury or invasion of privacy, resulting from the use of or inability to use the Service, third party software or hardware, even if advised of the possibility of such damages and even if the remedy fails of its purpose.

The Products are provided to you " as is " and " as available ".

The Company, including its affiliates, licensors and service providers, disclaims all implied warranties, including those of merchantability, fitness for a particular purpose, title and non-infringement, and any warranties that may arise from a course of dealing, performance or trade practice. The Company does not warrant that the products will meet your requirements, produce your desired results, be compatible with other software, applications or services, will operate uninterrupted, meet performance standards or be error-free. The exclusions and limitations in this section apply to the maximum extent permitted by law.

Force majeure

Force majeure is defined as an event beyond the control of the parties, unexpected at the time of acceptance of the Terms and which prevents the fulfillment of contractual obligations. Examples include wars, revolutions, fires, floods, natural disasters, quarantine restrictions or embargoes, this being an exhaustive list.

Force majeure exempts the parties from liability for the total or partial non-performance of contractual obligations. If these conditions persist for more than 20 days, either party may waive the Terms.

Applicable law

The applicable laws of Romania govern these Terms and your use of the ELTEK Store online platform.

Dispute resolution

In the event of a dispute or concern related to the ELTEK Store, you agree to first contact the Company to attempt to resolve the issue. Any dispute arising under these Terms will be resolved by the competent courts at the Company's headquarters.

Separability and waiver

If any provision of these Terms is held to be unenforceable or invalid, it will be modified to fulfill the original purpose to the extent permitted by law, without affecting the validity of the remaining provisions.

Disclaimer

The failure to exercise a right or perform an obligation shall not affect the party's ability to exercise that right or perform the obligation at a later date. The waiver of a breach does not imply the waiver of any future breach.

Changes to the Terms and Conditions

We reserve the right to modify these Terms at any time. The revised version will include the date of modification. Continued use of the ELTEK Store platform after the update constitutes acceptance of the new terms. If you do not agree to the modifications, please discontinue use of the platform.

Return Policy

In accordance with the law, you have the right to return physical products within 30 calendar days. The return costs are borne by you, and the refund will be made within 30 days of receiving the withdrawal notification.

Return Conditions:

• Return the products by courier, at your own expense;
• The products must be in the same condition in which they were received, without wear or defects;
• Sealed products can be returned if accompanied by the original documents.

Refund:

• The refund will be postponed until the returned products have been checked;
• Request the return by email to store@eltek.ro , specifying the order number and completing the return form here. You will receive a confirmation of the return request.
